The purpose of these Terms is to define the respective rights and obligations of the Company and the Affiliate within the framework of the Affiliate Program.
The Program allows any Affiliate accepted by the Company to promote the Platform to their audience and to receive a Commission on sales generated via their Affiliate Code, under the conditions set out herein.
The Program is open to any natural or legal person, provided they cumulatively meet the following conditions:
Be a natural person at least 18 (eighteen) years of age at the date of registration, possessing full legal capacity; or be a legal entity duly incorporated under the laws of its country of establishment, represented by a person authorized to bind it;
Hold a valid bank account in the Affiliate’s name enabling the receipt of bank transfers;
Accept these Terms in full and without reservation;
Not have previously been excluded from the Program by the Company.
The Company reserves the right to refuse any application without having to justify its decision, in particular if the content or practices of the applicant are contrary to the Company’s values, applicable law, or these Terms.
Important information — Minors
Registration for the Program is strictly reserved for adults (18 years of age or older). Any application submitted by a minor will be automatically rejected.
Registration for the Program is free of charge and involves no commitment of duration.
To register, the applicant must complete the registration form available on the Platform and provide the required information, including: first and last name or company name, valid email address, and bank details for the payment of commissions.
The Company reviews each application and notifies its decision by email as soon as possible. Admission to the Program is evidenced by the sending of a confirmation email and by the activation of the Affiliate Area and the personal Affiliate Code.
The Affiliate undertakes to provide accurate, complete, and up-to-date information, and to update it without delay in the event of any change. Any registration containing false information shall result in the immediate exclusion of the Affiliate and the cancellation of all commissions owed.
Upon validation of their registration, each Affiliate receives a unique Affiliate Code assigned exclusively to them and accessible from their Affiliate Area.
The Affiliate may not assign, resell, sublicense, or transfer their Affiliate Code to a third party, in any form whatsoever.
The Affiliate is solely responsible for the use of their Affiliate Code. Any fraudulent or abusive use, or use contrary to these Terms, shall be the Affiliate’s sole responsibility.
The Affiliate receives a Commission equal to 15% (fifteen percent) of the amounts collected, excluding tax, by the Company in respect of payments generated by Referred Customers via their Affiliate Code.
The referred customer receives a 15% discount on their subscription when using an affiliate code.
The Commission is calculated exclusively on the amount excluding tax actually collected by the Company, excluding any tax (VAT or equivalent), bank transaction fees, or other third-party fees.
The Commission is owed on:
Payment of the Referred Customer’s first subscription;
Recurring payments related to the Referred Customer’s subscription (monthly or annual);
Renewals of the Referred Customer’s subscription.
Commissions are paid for a maximum period of 12 (twelve) months from the date of the Referred Customer’s first paid subscription. Beyond this period, no commission is owed to the Affiliate in respect of that Referred Customer, even if the subscription remains active.
Commissions received constitute taxable income for the Affiliate, who is solely responsible for declaring and paying any related taxes, duties, social contributions, and any other tax charges, in accordance with the laws of their country of tax residence.
The Company does not withhold any tax at source on Commissions paid, unless required by applicable law. It is the Affiliate’s responsibility to comply with their VAT obligations where applicable (in particular if their annual turnover exceeds the exemption threshold applicable in France).
Tax information
If you are a micro-entrepreneur or self-employed, commissions received must be included in your declared turnover. For any tax-related questions, we recommend consulting an accountant or tax advisor.
A sale is attributed to an Affiliate if the following cumulative conditions are met:
The potential Customer used the Affiliate’s Affiliate Code when subscribing to a first paid Skedul subscription;
The subscription is correctly recorded and tracked by the Company’s system;
No priority attribution or exclusion rule applies.
Self-affiliation is prohibited. The Affiliate may not use their own Affiliate Code to subscribe to the Platform and receive a Commission on their own purchase, in accordance with these Terms.
Commissions are credited to the Affiliate’s Balance in their Affiliate Area once the Sale is validated, i.e., after actual collection of payment and expiration of the applicable legal withdrawal period.
The Company reserves a validation period of up to 60 (sixty) calendar days after collection to ensure there is no cancellation, refund, or dispute.
The Affiliate may initiate a transfer request directly from their Affiliate Area, via the dedicated payment request form, provided that their Balance is at least equal to the minimum threshold of €25 (twenty-five euros). Requests below this threshold are automatically rejected; the Balance remains credited pending a later request.
Payments are made by bank transfer to the account whose IBAN/BIC details have been provided by the Affiliate in their Affiliate Area.
The Company undertakes to process valid payment requests within 60 (sixty) business days following submission of the request. All payments are made in euros (EUR).
The payment request made via the Affiliate Area form constitutes the document triggering the transfer. The Company sends the Affiliate a payment receipt upon completion of each transfer.
It is the Affiliate’s responsibility to keep all such documents for accounting and tax purposes, and to issue, where applicable, the invoices or declarations required by the laws applicable to them (in particular if the Affiliate is subject to VAT).
Commissions are owed exclusively on Validated Sales as defined in Article 1.
In the event of cancellation, full or partial refund, chargeback, proven fraud, or any other situation resulting in the Company definitively not receiving payment, the corresponding Commission shall be canceled and deducted from the Affiliate’s Balance.
If the Balance is insufficient to cover the deduction, the Company may offset the amount against future commissions owed or, failing that, issue a refund request to the Affiliate.
Within the framework of the Program, the following practices are authorized:
Promotion of the Platform on any online or offline medium (websites, blogs, social media, newsletters, podcasts, videos, comparison sites, etc.);
Use of the graphic and editorial materials made available by the Company, within the limits of Article 13;
Direct recommendation within a professional or personal network.
The following practices are strictly prohibited and shall result in the immediate suspension of the Affiliate account as well as the cancellation of all commissions pending validation:
Any paid advertising on keywords corresponding to the “Skedul.stream” brand or its variants on advertising platforms (Google Ads, Bing Ads, Meta Ads, LinkedIn Ads, TikTok Ads, etc.);
Typosquatting: registering domain names that reproduce or imitate the “Skedul.stream” brand;
Creating or disseminating fake reviews, fake testimonials, fake screenshots, or any misleading content relating to the Platform or its features;
Impersonation of the Skedul brand, in particular creating sites, profiles, or accounts posing as the Company;
Any form of spam, unsolicited canvassing (email, SMS, instant messaging), or deceptive practices aimed at generating non-genuine clicks or conversions;
Promotion of the Platform on illegal content, or content that is pornographic, violent, hateful, discriminatory, or infringes the rights of third parties;
Any manipulation of the tracking system intended to artificially inflate statistics or Commissions.
In accordance with Article L. 121-1 of the French Consumer Code (misleading commercial practices), the recommendations of the Professional Advertising Regulatory Authority (ARPP), and European Directive 2019/2161, known as the “Omnibus” Directive, transposed into French law by Ordinance No. 2021-1734 of December 22, 2021, the Affiliate is required to clearly and beforehand inform their audience of the existence of a paid commercial partnership whenever they promote the Platform via their Affiliate Code.
This disclosure must be:
Visible and legible to any user before sharing the affiliate code;
Unambiguous: it must clearly indicate that this is sponsored content or a code that generates compensation for the affiliate.
Present on every post, video, story, email, or other promotional content containing the Affiliate Code.
By way of non-exhaustive example, the following formulas may be used: “#partnership,” “Affiliate code,” “This Code is an affiliate code – I receive a commission if you subscribe using this discount code,” “This code is an affiliate code – I receive a commission if you subscribe using this code.”
Failure to comply with this obligation shall be the Affiliate’s sole responsibility towards third parties and the relevant authorities. The Company reserves the right to suspend or exclude any Affiliate who fails to comply with their transparency obligations.
The Company holds all intellectual property rights relating to the Platform, the “Skedul.stream” and “Skedul” brands, and all associated elements (logos, visuals, texts, interface, source code, etc.).
The Company grants the Affiliate, for the duration of their registration for the Program, a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the branding elements (logo, name, promotional visuals) provided by the Company, solely for the purpose of promoting the Platform within the framework of the Program and in strict compliance with these Terms.
This license does not entail any transfer of ownership. The Affiliate may not modify, distort, alter, or use the Company’s branding elements in a context that damages its image or reputation. Any use outside the strictly defined scope above is prohibited and may be subject to legal action.
The company Skedul.stream (SIREN 939 140 604), whose registered office is located at 16 Place des Quinconces, 33000 Bordeaux, France, acts as the data controller for personal data collected within the framework of the Affiliate Program.

The Company ensures that its subcontractors provide sufficient guarantees regarding data protection (in accordance with Article 28 of the GDPR). In the event of a transfer outside the European Union, the Company implements appropriate safeguards (European Commission standard contractual clauses or an equivalent mechanism).
In accordance with the General Data Protection Regulation (GDPR – EU Regulation 2016/679) and French Data Protection Act No. 78-17 of January 6, 1978, as amended, the Affiliate has the following rights:
Right of access to their personal data (Art. 15 GDPR);

CNIL
The Affiliate has the right to lodge a complaint with the French Data Protection Authority (CNIL): www.cnil.fr – 3 Place de Fontenoy, TSA 80715, 75334 Paris Cedex 07.
In accordance with Article L. 221-28 12° of the French Consumer Code, the right of withdrawal does not apply to digital content not supplied on a physical medium, the performance of which has begun after the consumer’s prior express consent and express waiver of their right of withdrawal.
Consequently, sales of the Platform considered final under these terms shall not give rise to a Commission if they are nevertheless refunded on an exceptional or commercial basis by the Company. The corresponding Commission shall then be canceled in accordance with Article 10.
The Affiliate may terminate their registration for the Program at any time, without cause or penalty, by sending a request by email to contact@skedul.stream or via their Affiliate Area.
Termination takes effect within 60 (sixty) days of receipt of the request. Commissions validated and available in the Balance before the effective date of termination remain due and will be paid upon the Affiliate’s request, subject to the minimum threshold provided for in Article 9.2.
The Company may immediately suspend and definitively terminate the Affiliate account, without notice or compensation, in the event of:
Violation of one or more prohibited practices referred to in Article 11.2;
Proven fraud or attempted fraud against the tracking or commission system;
Provision of false or misleading information at registration or subsequently;
Conduct damaging the Company’s reputation, image, or interests;
Failure to comply with the transparency obligations set out in Article 12;
Infringement of the Company’s intellectual property.
In the event of termination for serious misconduct, all commissions pending validation are definitively canceled. Commissions already validated and available in the Balance before the date of suspension may, at the Company’s sole discretion and after deduction of any losses incurred, be paid.
Outside of cases of serious misconduct, the Company may end the Program or terminate an Affiliate’s account by giving 60 (sixty) days’ notice by email to the address provided in the Affiliate Area. In this case, commissions validated and available in the Balance on the effective date of termination shall be paid in full to the Affiliate under the conditions set out in Article 9.
The Company undertakes to use all reasonable means to ensure the proper functioning of the Program and the reliability of the tracking system. However, the Company does not guarantee continuous, uninterrupted, or error-free operation of the Program.
The Company cannot be held liable for:
Loss of data or commissions resulting from a technical failure, cyberattack, or event of force majeure beyond its control;
The conduct or commitments made by the Affiliate towards their audience;
The tax, social, or accounting consequences related to the Affiliate’s receipt of Commissions;
Interruption of the Program for legal, regulatory, or economic reasons.
The Company’s liability may only be engaged for direct and proven faults, and shall in any event be limited to the validated commissions owed to the Affiliate during the 12 (twelve) months preceding the occurrence of the damage.
The Company reserves the right to amend these Terms, commission rates, attribution rules, or any other condition of the Program at any time.
Any substantial amendment shall be notified to registered Affiliates by email to the address provided in the Affiliate Area, with a minimum notice period of 30 (thirty) days before it takes effect. Minor amendments (spelling corrections, rewording with no impact on rights and obligations) may be made without specific notice.
If the Affiliate does not accept the new terms, they have the right to terminate their registration without penalty before the effective date of the amendments, by notifying the Company by email at contact@skedul.stream. Failing termination within this period, the new terms shall be deemed accepted by the Affiliate.
The Affiliate acts as an independent business partner. These Terms create no relationship of subordination, agency, commercial agency, joint venture, or employment relationship between the Affiliate and the Company. The Affiliate may under no circumstances bind the Company’s liability towards third parties.
If any provision of these Terms is declared null or unenforceable by a competent court, the other provisions shall remain in force and fully effective. The void clause shall be replaced by the lawful clause closest to the parties’ original intent.
The fact that the Company does not, at a given time, avail itself of any provision of these Terms shall not constitute a waiver of its right to avail itself of that same provision or a similar provision at a later date.
These Terms constitute the entire agreement between the parties concerning the Affiliate Program and supersede any prior agreement, discussion, or arrangement relating to the same subject matter.
These Terms are governed by French law.
In the event of a dispute concerning the interpretation, validity, or performance of these Terms, the parties undertake to first seek an amicable solution. The Affiliate may send their complaint by email to contact@skedul.stream. The Company undertakes to respond within 30 (thirty) days.
Failing an amicable resolution within this period, the parties may resort to a certified mediator of their choice. Mediation is offered on an optional basis and is not mandatory prior to any legal action.
Failing an amicable resolution or resolution through mediation, any dispute relating to these Terms shall be submitted to the exclusive jurisdiction of the Bordeaux Commercial Court, notwithstanding multiple defendants or third-party proceedings, even for emergency proceedings or interim protective measures sought summarily or by petition.
